Scope of services provided:
1.1 Permafiles Ltd, based in United Kingdom, hereinafter referred to as "permafiles.com," offers cloud-based file hosting and related services to individuals and businesses, including all included service components, as well as any additional services ordered at a later date, exclusively subject to the following General Terms and Conditions. These terms and conditions are available at any time on the permafiles.com website and are accepted by the customer upon ordering, reordering, and each online configuration.
1.2 The customer warrants that they have full legal capacity in accordance with the legal provisions applicable to them, that they are entitled to receive the services in accordance with the legal provisions applicable to them (including with regard to any existing guardianships), and that there are no other legal, economic or financial reasons that prevent the conclusion of the contract.
Conclusion of contract
2.1 Offers from permafiles.com are subject to change without notice and non-binding. Technical and other changes remain subject to reasonableness.
2.2 By placing an order, the customer makes a binding offer to enter into a contract. We will confirm receipt of the customer's order immediately. Confirmation of receipt does not constitute binding acceptance of the order. The confirmation of receipt may be combined with the declaration of acceptance.
2.3 permafiles.com is entitled to accept the contractual offer contained in the order within five business days of receipt by permafiles.com. However, we are also entitled to reject it.
2.4 For free cloud access, the customer is required to provide their correct name and a valid email address. So-called one-time email addresses are not permitted. For paid cloud access, a correct postal address must also be provided. In case of violation, permafiles.com reserves the right to revoke access without notice.
Scope of services
3.1 The scope of services is determined from the offer information valid at the time of the order, the order form and the monthly special offers applicable at the time of the order.
3.2 Unless a separate contractual agreement has been made, the features described on the website at the time the contract is concluded shall apply to products. The open source software services described on our website always describe the delivery status of a newly installed open source software. This includes all products and service descriptions described at https://permafiles.com and on the subpages of https://www.permafiles.com. The features and service descriptions for open source software may change during the term of the contract, for example, if services are expanded, restricted, or become incompatible with our server software due to updates provided by the open source developer.
3.3 Updates to the cloud software will be carried out at the sole discretion and in accordance with the regular cycle of permafiles.com, unless an explicit deviation from this rule has been agreed upon in an SLA (Service Level Agreement).
3.4 The IP addresses and domain names assigned by the provider may be changed at any time with one week's notice. The customer cannot derive any further rights from such changes. The customer has no claim to a (specific) IP address. If the provider provides free (sub)domains or IP addresses, these remain the property of the provider after termination of the contract. By concluding a contract, the customer acquires exclusively a right to use the service(s), etc., for the agreed and paid period.
3.5 The provider reserves the right to expand, modify, and improve the services at any time, provided this is in the interest of all customers, server stability, server security, increasing server performance, etc. The provider is also entitled to modify the services if this is necessary due to changes/additions to laws, regulations, licensing provisions, or security considerations.
3.6 The provider's technical support will assist the customer with any issues with the cloud software. Our technical support services can be found in the "Technical Support" section of these Terms and Conditions. Third-party apps or apps below version 1 are not included in the free support, and the functionality of third-party apps cannot be guaranteed.
3.7 Within the scope of the cloud/offers, our service consists of running the corresponding open source server software (including Nextcloud, web meeting software, etc.) on our servers. The customer is responsible for the final setup and configuration of the cloud in the cloud web interface. There are no fees for the open source software (provided free of charge – download option available from the software developer). The customer/user can download the open source software from the software developer. Our support team will be happy to provide you with the desired download link. The contractual partner for the open source client and server software is not permafiles.com, but the software developer. permafiles.com never charges any fees, charges, etc. for open source software.
Technical support
4.1 Our standard technical support is included with the services we offer. If you need extra help beyond that, a separate agreement is required. Prices for additional services are available if you ask.
4.2 We don’t guarantee how quickly we’ll respond to support requests or orders unless a specific response time has been agreed in a Service Level Agreement (SLA).
4.3 All support communication whether by email, fax, or phone is protected by copyright. You’re not allowed to share or publish it without permission.
Data security
5.1 You must keep backup copies of all data you store with Permafiles. These backups should be saved somewhere outside of Permafiles’s servers and updated regularly. If your data ever needs to be restored, you’ll need to upload it again to our servers at no extra cost.
5.2 Before making any changes to your data—either by yourself or through someone else—you must first create a full backup.
5.3 You’ll receive a user ID and password to access your services. You must keep these private and are responsible for any misuse. If you think someone else has gained access, let us know right away. If your password is misused because of your actions, you’ll be responsible for any fees or damages. If you’re concerned, you can change your password or ask us to block access.
Duties and obligations of the customer
6.1 You must use Permafiles Ltd, services properly and only for their intended purpose. Specifically, you agree to: Let us know right away if anything changes in your contract. Use your access responsibly and avoid any illegal activity.
You must not:
i. Use other users’ services without permission.
ii. Access or change other users’ passwords, emails, or files without permission.
iii. Share licensed software through our services without approval.
iv. Disrupt or overload our systems.
v. Share illegal content, including pornography, violent material, or extremist content.
vi. Use your storage space for backups unless we’ve agreed to it.
vii. Go over your allowed storage limit.
If you break the rules, you’ll need to cover any costs we incur. Follow all current and future laws and official rules that apply to using our services. Respect data protection laws and good security practices. Use the services in a way that doesn’t overload our servers. Our systems are built for normal use, and we define that as twice the average usage of all users. Report any problems or damage right away and help us figure out what’s wrong. If you report a problem and it turns out to be your fault, you’ll need to cover the cost of the inspection.
6.2 If you break the rules listed in 6.1.b, we can cancel your contract immediately after a warning - or without warning in serious cases.
6.3 Users may agree on how they interact with each other through a separate user agreement.
6.4 In other cases, we may cancel your contract with 10 days’ notice. If we find out you’ve broken the rules, we may also block or limit your access to our services right away.
Data protection
The privacy policy published separately on the permafiles.com website in its current version applies.

Published content
8.1 You agree not to post anything that breaks the law or violates someone else’s rights. Posting extremist or offensive content is strictly forbidden. If you do, we may block your access. This also applies to content that insults, defames, or disrespects others—even if no legal action is taken. We are not responsible for reviewing your content in advance.
8.2 Sending spam emails is not allowed. This includes sending unwanted ads or messages to others without their permission. You also must not hide or fake your identity when sending emails. If you break these rules, we may block your access and charge you €1,000 for each violation.
Liability
9.1 Permafiles.com is not responsible for any direct or indirect damage, or lost profits, caused by internet issues that are outside our control.
9.2 We are not liable to businesses for minor mistakes involving non-essential parts of the contract. This does not apply to cases involving personal injury and is subject to the Product Liability Act.
9.3 We are only responsible to businesses for indirect damages or lost profits if we acted intentionally or with serious negligence. Even then, our liability is limited to what could reasonably be expected under the contract, up to the value of one year’s product rental or subscription fees.
9.4 If you break the rules in these Terms, break the law, or act inappropriately, you are responsible for any damage or financial loss caused to Permafiles.com. You also agree to protect us from any legal claims made by others because of illegal content you post. This includes covering all legal costs, such as court and lawyer fees.
9.5 We are not responsible for any damage or lost profits caused by technical issues in open source software.
Payment terms
10.1 Our current prices are always available at https://permafiles.com/buy/plans.
10.2 Billing may be monthly, quarterly, every six months, yearly, or every two years—depending on your contract. Unless we agree otherwise, you will pay for our services via monthly subscription payments.
10.3 If you don’t pay on time, we may block access to your online storage and other services.
10.6 If you pay by SEPA direct debit, the payment will be collected one working day after we send your order confirmation by email.
10.7 If you don’t pay an invoice, you’ll automatically be considered in default.
Contract duration
11.1 Unless stated otherwise, contracts are open-ended and continue until cancelled.
11.2 Either you or Permafiles.com can cancel the contract at any time, effective at the end of the current billing period. If you're a consumer, you can cancel without notice before the next billing period starts. If you're a business, you must give four weeks’ notice before the next billing period. Permafiles.com also follows a four-week notice period for paid plans. If you cancel early, you won’t receive a refund for any unused time or fees.
11.3 If your contract has a minimum term, you can only cancel after that term ends and not before the current billing period finishes.
11.4 Contracts automatically renew for the same length as the previous term unless cancelled in advance.
11.5 The easiest way to cancel is through your PayPal account by clicking the cancel button under the subscription. You can also cancel by email, support ticket. A written message is enough.
11.6 We may cancel your contract immediately if you seriously break the rules (especially those in Section 6), or if your content threatens the stability or security of our servers.
11.7 If there’s a legal dispute, it will be handled by the local court in The United Kingdom unless you’re a consumer with a different legal jurisdiction. We may also take legal action at your registered business location.
11.8 If you want to transfer your contract to someone else, you need our permission. Transfers must be done in writing—by letter, fax, or through our secure online system (if available). If done by letter or fax, both parties must sign.
Pricing and Payment
12.1 All prices are listed in GBP and include applicable VAT. Payment is due upon registration unless otherwise stated.

Cancellation policy
14.1 Your Right to Cancel (for Consumers)
You have the right to cancel your contract within two weeks without giving a reason. You can do this in writing - by letter, fax, or email. The two-week period starts when you receive this cancellation notice in writing, but not before the contract is signed and Permafiles.com has provided all legally required information. 14.2 What Happens After Cancellation
If you cancel successfully, both sides must return any services or payments received. Your cancellation right ends early if both you and Permafiles.com have fully completed the contract at your request before you cancel. Any refunds must be made within 30 days - starting from when you send your cancellation, and from when we receive it. When we receive the end of term notice from PayPal, your account and all files will be deleted and will become irrecoverable. It is the user's responsibility to back up their data before the subscription period expires.
Order processing according to Article 28 GDPR
15.1 If Permafiles.com offers you any extra services or benefits for free (outside of your contract), they can stop providing them at any time.
Contract Formation:
A contract is formed when you complete registration and accept these terms. You have the right to cancel within 14 days of registration, in accordance with the Consumer Contracts Regulations 2013.
Liability:
We are not liable for data loss, service interruptions, or indirect damages unless caused by gross negligence or breach of statutory duty.
Jurisdiction:
These terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of UK courts.
Privacy and Cookies
We are committed to protecting your personal data. Please refer to our Privacy Policy for details on how we collect, use, and store your information in compliance with UK GDPR.
Conclusion
Permafiles.com may hire other companies or partners to help deliver its services. It can also update or change the technology, systems, or providers it uses at any time - without notice - if the changes don’t cause lasting harm or outweigh the benefits for you. If there’s a temporary service interruption because of these changes, it’s not considered a defect, and you won’t be entitled to compensation or a fee reduction. You’re still fully responsible for your obligations to Permafiles.com, and any costs you incur because of these changes are your responsibility.
If Permafiles.com sells part of its business or names a legal successor, that doesn’t give you a special right to cancel your contract. However, if the company shuts down completely, your contract will end at that time, and you’ll receive a partial refund for any prepaid fees. Any discounts you received for signing a 12-month or longer contract will still be honoured.
Severability clause
If any part of this agreement turns out to be invalid or can’t be enforced, the rest of the agreement still remains valid. That part will be replaced with a new rule that comes as close as possible to what both sides originally intended. The same applies if something is missing from the agreement.
